SEVERAL FORMS AND TEMPLATES FOR COOPERATION   ENTERPRISES VARIOUS COUNTRIES ENTERING THE WIBDC ASSET MANAGEMENT COMMITTEE

Party B must apply voluntarily，Join the Wibdc Asset Management Committee，Become an enterprise affiliated to the Wibdc Asset Management Committee（Brand enterprises from various countries enter the Wibdc Asset Management Committee），This can be divided into 3 categories（Direct, non-direct, custodian or affiliated), 5 forms, 8 subdivisions）

1. Wholly-owned direct company：Wibdc Asset Management Committee Wholly-owned direct company（Wibdc Asset Management Committee is 100% of the shares）；（Human, Finance and Property belongs to the management, supervision and Inspector of the Wibdc Asset Management Committee and the Investment Committee)

2. Direct affiliated business:（Wibdc Asset Management Committee is More than 34% of the shares）；（Human, Finance and Property belongs to the management, supervision and Inspector of the Wibdc Asset Management Committee and the Investment Committee)

3. Joint ventures are not directly affiliated: Become an enterprise of the Wibdc Asset Management Committee（Independent non-directly affiliated enterprises（Wibdc Asset Management Committee is equal to or greater than 70% of the shares（absolutely controlling Shares），Wibdc Asset Management Committee is equal to or greater than 51% of the shares（relatively controlling shares），Wibdc Asset Management Committee is equal to or greater than 34% of the shares（One vote veto），Wibdc Asset Management Committee is equal to or greater than 33% of the shares（Small shareholders））(People, finance and property are managed according to the shareholding ratio and are cross-supervised).

4. Hosting form: Wibdc Asset Management Committee Hosting Enterprise （Wibdc Asset Management Committee No investment）；(Management of Wibdc Asset Management Committee，Cross-supervision)

5. Affiliate form: Wibdc Asset Management Committee Affiliated enterprises （Wibdc Asset Management Committee No investment）.( Wibdc Asset Management Committee Not involved in management, Only financial personnel are sent to supervise and supervise).

6. During the cooperation, the total proportion of intangible assets of both parties (including multiple parties) shall not exceed 30% of the shares (including technical shares) (except for special circumstances, if the intangible assets are insufficient, some shares will be transferred to the investor), to promote investment and ensure operation:

(1)World-class international brand projects, intangible assets account for up to 30% of the shares; investment accounts for 40% of the shares and operation accounts for 30% of the shares;

(2)Intercontinental-level international brand projects, intangible assets account for up to 25% of the shares; investment accounts for 45% of the shares, and operation accounts for 30% of the shares;

(3) Ordinary-level international brand projects, intangible assets account for up to 20% of the shares; investment accounts for 50% of the shares, and operation accounts for 30% of the shares;

(4) National brand projects, intangible assets account for up to 15% of the shares; investment accounts for 55% of the shares, and operation accounts for 30% of the shares;

(5) Provincial and ministerial brand projects, intangible assets account for up to 10% of the shares; investment accounts for 60% of the shares and operation accounts for 30% of the shares;

(6) Intangible assets account for up to 5% of the shares; investment accounts for 65% of the shares and operation accounts for 30% of the shares;

(7) County-level brand projects, intangible assets account for up to 3% of the shares; investment accounts for 67% of the shares, and operation accounts for 30% of the shares;

(8) Township-level brand projects, intangible assets account for up to 2% of the shares; investment accounts for 68% of the shares, and operation accounts for 30% of the shares;

(9) Factory-level brand projects, intangible assets account for up to 1% of the shares; investment accounts for 69% of the shares, and operation accounts for 30% of the shares;

Note: Any non-directly affiliated enterprise (shareholding, trusteeship, and affiliated form) shall not carry out work and publicity and reporting in the name of the Wibdc Asset Management Committee.

乙方必须自愿申请，加入世品委资委会，成为世品委资委会的（各国品牌企业入驻世品委资委会）所属企业，可以有分 3 大类（直属、非直属、托管或挂靠），5 种形式，8 种细分情况：
